Corporate Governance

The Board of Directors defines the Group’s medium to long-term strategy, business plan and annual budget.

From a corporate governance perspective, the EV Group is directed by the parent company, Eigenmann & Veronelli S.p.A., while its subsidiaries remain independent and autonomous in their decision-making, in compliance with the strategic guidelines established by the parent company.

The corporate governance system adopted by the parent company is based on principles that apply across all Group companies, namely:

• defined, recognised and shared values, set out in the Code of Ethics;
• the central role of the Board of Directors;
• the effectiveness and transparency of management decisions;
• the adoption of an appropriate internal control system;
• a proactive risk management approach.

EV is strongly committed to preventing bribery and corruption. Accordingly, it requires each subsidiary to adopt rigorous procedures that comply with national legislation and are aligned with best practice standards.

The Board of Directors and the senior management team are the custodians of these fundamental principles. Openness and communication are key elements of EV’s management approach, ensuring timely decision-making, accurate strategic and succession planning, fairness, and non-discrimination.

In order to promote effective and responsible corporate governance, the parent company ensures and requires compliance with all applicable laws, the Code of Ethics, the Organisational Model pursuant to Legislative Decree 231/2001, as well as internal regulations, and encourages all its stakeholders to respect and adhere to the above-mentioned rules and standards.
